Terms of service.

These Terms of Service (the "Terms") govern your access to and use of the northpoint.fi website and the services offered by NorthPoint Marketing Solutions Oy (a Finnish limited company, VAT FI34987341, Helsinki, Finland), collectively referred to as "NorthPoint".

Services.

NorthPoint offers three services, scope and pricing as published on this site:

• AI Crypto CMO — a monthly subscription with published scope per tier (Essentials, Core). 3-month minimum. 30 days notice to cancel after the minimum. Annual prepay includes one month free.
• CMO Operating System — a fixed-scope 90-day engagement. Paid 50% on signature, 50% at Day 45. Ends on Day 90.
• Fractional Crypto CMO — ongoing retainer with a 3-month minimum and 30-day notice thereafter. Maximum 12-month engagements.

Scope.

Each engagement has its scope published on the relevant service page. Work outside the published scope is out of scope. Requests for additional work are quoted separately.

Payment.

Subscription invoices are issued monthly in advance, payable within 14 days. Transformation engagements follow the payment schedule on the service page. Retainers are invoiced monthly in advance. All prices are in EUR and exclude VAT where applicable.

Cancellation.

You may cancel a subscription at any time after the 3-month minimum by giving 30 days' written notice. No penalty, no clawback. Transformation engagements are non-cancellable once commenced; a refund of the second payment instalment applies only if we materially fail to meet the Day 90 deliverables as published on the service page.

Confidentiality.

Both parties agree to keep confidential any non-public information disclosed during an engagement. A mutual NDA is signed before any engagement begins. Published case studies require written client consent.

Intellectual property.

Deliverables produced during a paid engagement are the client's on final payment. The NorthPoint stack, prompt library, frameworks, and methodologies remain NorthPoint's property. Open-source assets (the jukkablomberg/northpoint skills marketplace, books) are licensed separately as stated in each repo or publication.

Warranties and liability.

We provide services using reasonable professional care. We make no specific performance guarantees on marketing outcomes — marketing results depend on many factors outside our control. Our total liability for any claim arising from a service is limited to the fees paid in the preceding 6 months. Nothing in these terms excludes liability for fraud, gross negligence, or any liability that cannot lawfully be excluded under Finnish law.

Governing law.

These Terms are governed by the laws of Finland. Any dispute is subject to the exclusive jurisdiction of the courts of Helsinki, Finland, unless otherwise agreed in writing.

Changes.

We may update these Terms from time to time. Existing clients are notified by email of material changes. Continued use of our services after a change constitutes acceptance of the new Terms.
